Digital Image License AGREEMENT

Read these terms and conditions carefully before using the Digital NFT UTILITY Image from DELT COIN. By using or participating in DELT COIN Exchanged and allowing DELT to Operate a NFT Digital Image DELT COIN the to a DELT COIN Trader / Buyer, you agree to be bound by the terms and conditions of this Agreement. If you do not accept the terms and conditions in this Agreement, do not use or or participate in this Digital Image contract to promote your Company LOGO as an NFT Asset on the Blockchain from the Seller - (DELT COIN) @deltcoin.com

THIS DIGITAL IMAGE LICENSE (the "Agreement") Is dated when signed by both parties at the base of this agreement.

BETWEEN:


(the "Seller") - YOU WILL NEED TO CONFIRM YOUR COMPANY NAME WHEN SIGNING.

OF THE FIRST PART

DELT COIN - Digital Exchange of www.deltcoin.com 
(the "Buyer")

OF THE SECOND PART

(individually the "Party" and collectively the "Parties")

IN CONSIDERATION OF the Seller providing the Digital Image to the Buyer and the Buyer paying the Seller the Purchase Price, and other valuable consideration, the receipt and sufficiency of which consideration is hereby acknowledged, the Parties agree as follows: 

  1. Digital Image


  2. The Seller owns and is providing to the Buyer the digital image or digital images described below, and as further described in the attached exhibit(s) (the "Digital Image"): DELT COIN.
    Decentralized Exchange Liquidity Token
    A Digital NFT Trading Utility Asset..


  3. License


  4. The Digital Image is the property of the Seller and is copyrighted by law. The Digital Image shall not be copied, published, or used in any way except as provided for in this Agreement. The Seller reserves the right to use the Digital Image on the Seller’s website and for the Seller’s own marketing or advertising purposes.


  5. The Seller will provide the Digital Image to the Buyer from _____________________ (the "Contract Start Date") to _____________________ (such period, the "License Term").


  6. Permitted Use


  7. The Buyer shall only use the Digital Image in accordance with this Agreement.


  8. The Buyer may use the Digital Image for the duration of the License Term for the following commercial purpose (the "Permitted Use"): Buyers/Traders can purchase a DELT COIN on the Blockchain For Ethereum Cryptocurrency. After the DELT COIN Asset is Acquired, DELT will receive the Payment of the Cryptocurrency.
    Soon after DELT has received the payment from the DELT COIN Trade,

    DELT WILL PREPAY THE OWNERS REQUEST FOR THE GOODS / SERVICES TO YOUR BUSINESS ESTABLISHMENT WITH AN ADDED 10% BONUS FOR EACH TRANSACTION. ( WITH CRYPTO WALLET ONLY )
    All Prepaid Transactions can be sent directly to your Business Payment Account, such as,

    #1- DELT Recommends that you have an active Crypto Wallet attached your business bank account. This will Allow for smoother payment transactions within seconds of the DELT Trade, *Note Holding Digital Currency in your Crypto Wallet will rise with the value of that Currency. For example, Ethereum right now is valued at @$3,000 per coin, let's say, you wake up tomorrow and Ethereum is now $5,000, your Crypto Wallet will see the rise in your account as well.

    #2- A Direct Business Bank Account that you have established, or a New Bank Account Strictly for DELT Transactions.

    #3- A Third Party Payment Processing System such as, Debit Or Credit Cards, Square, CashApp, PayPal, Venmo and Apple Pay.


  9. The Buyer may share the Digital Image to its social media platforms so long as the Digital Image is unaltered and includes a direct link to the Seller’s website or credit to the Seller.


  10. Restrictions on Use


  11. The DELT Trader / Buyer shall not resell, sub-license or redistribute the Digital Image except as provided for in this Agreement.


  12. The DELT Trader / Buyer shall not use the Digital Image in a commercial manner to earn money, for marketing or advertising purposes, or in a trademark, except as provided for in this Agreement.


  13. The DELT Trader / Buyer shall not use the Digital Image in an obscene, defamatory or immoral way.


  14. The DELT Trader / Buyer shall not use, and shall not allow to be used, the Digital Image for any purposes prohibited by the laws of the United States.


  15. The DELT Trader / Buyer shall not alter the Digital Image in any way.


  16. The DELT Trader / Buyer shall not allow others to use the Digital Image and shall not use the Digital Image in a way that allows others to download or redistribute the Digital Image except in accordance with this Agreement.


  17. The DELT Trader / Buyer is limited to only 1 DELT COIN per trade of the Digital Image during the License Term.


  18. The DELT Trader / Buyer is subject to the following limits on market or audience for the Digital Image: DELT will promote the Digital Image of your Company Logo to the World on the Blockchain as a NFT Trading Asset. This NFT will be seen buy thousands of people each day for FREE and not limited to a time or obligations to use the platform.
    DELT COIN is available to the Public on the Blockchain, but Limited to those that will be allowed to Trade DELT COIN. All Certified DELT Traders are required to be registered with DELTCOIN.com.


  19. Price


  20. DELT COIN will pay $___A PREPAID AMOUNT VALUED BY THE DELT COIN TRADE COST - PLUS A 10% BONUS FOR EVERT DELT TRADE____ (the "Purchase Price"), for the Permitted Use of the Digital Image, paid by Ethereum Cryptocurrency , Digital Bank Transfer, Third Party Processing. on or before the Contract Start Date.


  21. Warranties


  22. The Seller warrants that the Seller is entitled to grant the use of the Digital Image described in this Agreement, and that this Agreement does not infringe the rights of third parties.


  23. The Seller warrants that the Digital Image shall be free from defects, with normal use of the Digital Image, for 30 days after the Contract Start Date (such period, the “Warranty Period”). Any defect, with normal use of the Digital Image, before the expiry of the Warranty Period will result in the Buyer being entitled to the immediate replacement of the Digital Image, a full or partial refund of the Purchase Price, or a price reduction, as appropriate. It shall be the option of the Seller whether to replace the Digital Image, to refund an amount paid, or to reduce the Purchase Price.


  24. Liability & Indemnity


  25. The Seller will not be liable for any third party claims, losses, damages, liabilities, penalties, punitive damages, expenses, legal fees or costs of any kind or amount whatsoever resulting from the Buyer’s use of the Digital Image.


  26. The Buyer agrees to defend, indemnify and hold harmless the Seller and its officers, employees, agents and suppliers against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever resulting from or arising out of the unauthorized use of the Digital Image by the Buyer, or its officers, employees, agents or suppliers, or the Buyer's breach of this Agreement.


  27. Expiry or Termination


  28. This Agreement will expire on _____90 DAYS AFTER SIGNED_______ unless the Parties decide to renew, or unless otherwise terminated for any of the reasons set out below.


  29. This Agreement shall terminate immediately upon the failure of the Buyer to comply with the terms and conditions herein.


  30. The Seller reserves the right to cancel this Agreement immediately:


    1. if the Buyer fails to make a payment when due; or


    2. in the event of the Buyer's insolvency or bankruptcy.


  31. The Seller reserves the right to discontinue the license and terminate the Agreement immediately, as well as to commence legal proceedings, if any copyright infringement has taken place due to the Buyer’s unauthorized use of the Digital Image.


  32. Upon expiry or termination of this Agreement, the Buyer shall discontinue the use of the Digital Image, and shall destroy all copies and archives of the Digital Image.


  33. Intellectual Property Rights


  34. The Seller retains all intellectual property rights in the Digital Image, including the sole copyright to the Digital Image. Nothing in this Agreement shall operate to transfer, assign or otherwise grant any party any right or interest in the Seller's intellectual property rights or affect ownership by the Seller of intellectual property rights with regard to the Digital Image.


  35. Any use, under any conditions not specifically allowed for in this Agreement, may constitute a violation of federal copyright law or international copyright agreements.


  36. The Buyer shall not falsely represent that they are the original creator of the Digital Image.


  37. Export Laws


  38. In order to purchase a license for the Digital Image, the Buyer must be in compliance with applicable export laws.


  39. The Buyer shall not ship, transfer or export the Digital Image to any country in a manner prohibited by the laws of the United States or use it in any manner prohibited by the laws of the United States.


  40. Severability


  41. If there is a conflict between any provision of this Agreement and the applicable legislation of the United States (the "Act"), the Act will prevail and such provision of the Agreement will be amended or deleted as necessary in order to comply with the Act. Further, any provisions that are required by the Act are incorporated into this Agreement.


  42. If any terms or provisions of this Agreement are determined to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement will not be affected and each unaffected term and provision will remain in full force and effect.


  43. Governing Law


  44. This Agreement will be governed by and construed in accordance with the laws of the United States, without regard to the jurisdiction in which any action may be instituted. The Buyer agrees to submit to the jurisdiction of the courts of Louisiana to bring any action or for the enforcement of this Agreement. Notwithstanding, the Seller reserves the right to commence legal action to obtain injunctive relief in any court of competent jurisdiction.


  45. Assignment


  46. The Buyer may not assign or transfer the Agreement or any rights granted within without the prior written consent of the Seller, and any attempted assignment or delegation without such consent will be void.


  47. The Agreement will inure to the benefit and be binding upon the Seller and the Buyer and their respective successors and assigns.


  48. Agreement of Parties


  49. This Agreement constitutes the entire agreement between the Seller and the Buyer with respect to the subject matter hereof and there are no further items or provisions, either oral or otherwise.


  50. The provisions contained in this Agreement cannot be changed except by the signed and delivered written consent of both Parties.


  51. Dispute Resolution


  52. If any dispute relating to this Agreement between the Seller and the Buyer is not resolved through informal discussion within 14 days from the date a dispute arises, the Parties agree to submit the issue first before a non-binding mediator and to an arbitrator in the event that mediation fails. The decision of the arbitrator will be binding on the Parties. Any mediator or arbitrator must be a neutral party acceptable to both the Seller and the Buyer. The cost of any mediations or arbitrations will be shared equally by the Parties.


  53. Additional Clauses


  54. ALL DELT BUSINESS TRADE LOCATIONS ARE CALLED DELT COIN ANCHORS.

    ANCHOR LOCATIONS ARE REQUIRED TO DISPLAY THE DELT COIN LOGO AND ALL DELT MARKETING MATERIALS PROVIDED TO YOUR BUSINESS.

    ALL CLASS-A RATED DELT COIN ANCHOR LOCATIONS WILL RECEIVE A 5X7in DIGITAL DISPLAY FRAME OF THE DELT COIN WITH YOUR COMPANY LOGO.
    DELT REQUIRES THAT YOUR COMPANY DISPLAY THIS DIGITAL FRAME TO TO BE IN A PLACE THAT WILL BE SEEN AT ALL TIMES TO ALLOW DELT TRADERS TO RECOGNIZE THAT YOU ARE A DELT BUSINESS ANCHOR AND ALWAYS READY FOR DELT COIN TRADING.


  55. DELT COIN BUSINESS ANCHORS ARE REQUIRED TO PLACE THE DELT COIN LOGO ON THE COMPANY WEBSITE AND POSSIBLE PROMOTIONS.


  56. General Provisions


  57. Headings are inserted for convenience only and are not to be considered when interpreting this Agreement. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.


  58. Except where otherwise stated in this Agreement, all terms employed in this Agreement will have the same definition as set forth in the Uniform Commercial Code in effect in the State of Louisiana on the date of execution of this Agreement.


  59. This Agreement may be executed in counterparts. Facsimile signatures are binding and are considered to be original signatures.


  60. All monetary amounts in this Agreement refer to the United States dollar (USD), and all payments required to be paid under this Agreement will be paid in USD or Ethereum Cryptocurrency unless the Parties agree otherwise in writing.


  61. Time is of the essence in this Agreement.


The Parties have executed this Digital Image License on this day.
